These Terms & Conditions (“Terms”) govern your access to and use of CheckToSign, a service operated by NaniBoo LLC (“CheckToSign,” “we,” “us,” or “our”), including the CheckToSign mobile application, website, and related services (collectively, the “Service”). By accessing or using the Service, you agree to these Terms.
1. The Service
CheckToSign uses automated and artificial-intelligence technologies to help users review documents and identify information such as fees, dates, renewal terms, cancellation provisions, important clauses, and questions that may be worth asking.
The Service is an informational tool. It is not a substitute for reading the original document or obtaining advice from a qualified professional.
2. No Legal Advice or Attorney-Client Relationship
CheckToSign is not a law firm and does not provide legal advice, legal representation, or a legal opinion. Use of the Service does not create an attorney-client relationship, fiduciary relationship, or other professional relationship with NaniBoo LLC or CheckToSign.
AI-generated summaries and suggestions may be incomplete, inaccurate, or inappropriate for your circumstances. Laws can vary by location and may change. The original document and applicable law control, not the CheckToSign analysis.
3. Eligibility
You must be legally capable of agreeing to these Terms. If you are under the age of majority where you live, you may use the Service only with the involvement and permission of a parent or legal guardian.
4. Accounts
If an account is required for certain features, you are responsible for providing accurate information, maintaining the confidentiality of your login credentials, and all activity under your account. Notify us promptly at support@checktosign.com if you believe your account has been accessed without authorization.
5. Documents You Upload
You retain your rights in documents and content you upload. You grant us and our service providers a limited right to host, transmit, process, reproduce, and analyze that content only as reasonably necessary to operate, secure, support, and improve the Service as described in our Privacy Policy.
You represent that you have the right and authority to upload the content you provide. Do not upload documents you are prohibited from sharing or information that is unnecessary for your intended analysis.
6. AI-Generated Output
AI systems can misread scans, omit provisions, misunderstand defined terms, or produce incorrect conclusions. You are responsible for reviewing the source document and deciding whether to rely on any output. Do not use CheckToSign as your sole source for legal, financial, tax, immigration, medical, regulatory, court, or other high-stakes decisions.
7. Purchases, Contract Checks, Credits, and Subscriptions
The Service may offer individual contract checks, multi-check packages, subscriptions, or other paid features. The price and specific benefits shown at the time of purchase control. Taxes may apply.
Purchases made through the Apple App Store or Google Play are processed by the applicable platform and are also subject to that platform’s terms and payment rules. We do not control the platform’s billing systems.
If CheckToSign offers an auto-renewing subscription, the purchase screen will disclose the billing period, price, included features, and renewal terms before you subscribe. Unless canceled through the applicable platform before renewal, an auto-renewing subscription may renew and the platform may charge the payment method associated with your account.
Unused credits, checks, or entitlements may be subject to limits or expiration rules disclosed at the time of purchase. We will not materially reduce a paid entitlement that you have already purchased except where required for security, law, platform rules, or to address misuse.
8. Cancellations and Refunds
For purchases made through Apple or Google, subscription management, cancellation, and refund requests generally must be handled through the applicable platform, subject to its policies and applicable law. Canceling a subscription prevents future renewals but does not automatically refund previous charges.
Nothing in these Terms limits any mandatory refund, cancellation, or consumer rights that apply to you under law.
9. Acceptable Use
You may not use the Service to:
- violate any law or the rights of another person;
- upload content you are not authorized to possess, disclose, or process;
- attempt to gain unauthorized access to systems or accounts;
- interfere with, overload, reverse engineer, scrape, or misuse the Service except as permitted by law;
- introduce malicious code or use the Service to facilitate fraud, harassment, or unlawful activity; or
- misrepresent CheckToSign output as a legal opinion, attorney review, or guaranteed determination.
10. Intellectual Property
The Service, including its software, branding, interface, design, and original content, is owned by or licensed to NaniBoo LLC and is protected by applicable intellectual-property laws. These Terms give you a limited, personal, non-exclusive, non-transferable, revocable right to use the Service in accordance with these Terms.
11. Privacy
Our Privacy Policy explains how we handle personal information and is incorporated into these Terms by reference.
12. Third-Party Services
The Service may rely on third-party platforms and service providers, including cloud infrastructure, AI processing, authentication, analytics, and app-store billing. Those third parties may have their own terms and privacy practices. We are not responsible for third-party services that are outside our control.
13. Changes, Availability, and Maintenance
We may modify, suspend, or discontinue features, impose reasonable usage limits, or perform maintenance. We do not guarantee that the Service will always be available, uninterrupted, secure, or error-free.
14. Suspension and Termination
You may stop using the Service at any time. We may suspend or terminate access if we reasonably believe you violated these Terms, created security or legal risk, failed to pay applicable charges, or used the Service in a way that could harm the Service or others. Account deletion is addressed separately at www.checktosign.com/delete-account/.
15. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF ACCURACY, COMPLETENESS, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT AI OUTPUT WILL IDENTIFY EVERY IMPORTANT CLAUSE, ERROR, RISK, RIGHT, OR OBLIGATION.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NANIBOO LLC, CHECKTOSIGN, AND THEIR OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OPPORTUNITY, OR GOODWILL, ARISING FROM OR RELATED TO THE SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO CHECKTOSIGN FOR THE SERVICE DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) US $50. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
17. Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless NaniBoo LLC and CheckToSign from claims, losses, liabilities, and reasonable costs arising from your unlawful use of the Service, your violation of these Terms, or content you upload without appropriate rights or authorization.
18. Governing Law
These Terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-law principles, except to the extent mandatory consumer-protection law in your jurisdiction applies.
19. Changes to These Terms
We may update these Terms from time to time. The updated Terms will be posted on this page with a revised effective date. If a change is material, we will provide additional notice when required. Your continued use of the Service after updated Terms become effective constitutes acceptance to the extent permitted by law.
